Required experience involves preparing and reviewing Exchange Act filings (including Forms 10-K, 10-Q, 8-K, proxy statements, and Section 16 filings), representing issuers and underwriters in public and private equity and debt offerings, and counseling public companies on disclosure obligations, corporate governance, SEC reporting, and stock exchange compliance.
Ideal candidates will also have experience advising boards of directors and management teams on governance and disclosure issues, preparing registration statements and SEC comment letter responses, and supporting public company transactions, including mergers and acquisitions, tender offers, strategic investments, and other complex corporate transactions.
Additional experience with capital markets transactions, joint ventures, private equity investments, and general corporate matters is a plus.
