Senior Paralegal role supporting Corporate, Finance, and Real Estate practice groups, based in San Francisco, Seattle, or Silicon Valley.
Requires a minimum of seven (7) years of paralegal experience in corporate, finance, and real estate legal matters.
Provide comprehensive transactional support, including due diligence, document preparation, closing coordination, and post-closing activities for complex deals.
Manage all aspects of corporate governance, including entity formation, state compliance filings, annual reports, minute books, and maintaining electronic entity records and databases.
Support emerging companies and venture capital financings by handling capitalization tables, equity ownership, stock option administration, board/stockholder approvals, and monitoring equity plan compliance.
Prepare and file UCC-1 and UCC-3 statements, conduct and analyze UCC/lien searches, and report on findings.
Research real property records, coordinate deed recordings, review title commitments/surveys, prepare Bureau of Economic Analysis (BEA) filings, and summarize commercial contracts/leases.
Must have experience with EDGAR filings; Carta experience is a plus.
Demonstrated organizational, project management, analytical, and problem-solving abilities, with exceptional attention to detail and strong communication skills.
High school diploma required (bachelor’s degree strongly preferred); must possess or be eligible to obtain a Notary commission in the state of employment.
Requires flexibility to work overtime, including evenings and weekends, and travel as needed.
Anticipated base salary range is $98,852 to $120,000, eligible for overtime, with a potential discretionary annual bonus.
