Overview

Mid-level Associate position within the Technology Transactions practice.
Role can be based in either the Palo Alto or San Francisco office.
Requires 4-6 years of experience in technology transactions, preferably from a major law firm.
Key responsibilities include drafting, reviewing, and negotiating technology and IP-focused commercial agreements (e.g., SaaS, cloud services, licensing, development).
Advise on technology and IP aspects of M&A, private equity, and venture capital transactions, including due diligence, IP structuring, and transition services.
Support strategic partnerships, joint ventures, and platform agreements for technology businesses.
Counsel clients on data use, ownership, and commercialization strategies, including proprietary data, training datasets, and platform integrations.
The role involves a mix of standalone commercial work and deal-driven technology transactions.
Collaborate with corporate, IP, privacy, and regulatory teams on multidisciplinary matters.
Strong drafting and negotiation skills for technology, licensing, and commercial agreements are essential.
Candidates must have excellent academic credentials and strong written and oral communication skills.
Active California Bar membership is required, or eligibility to gain admission.
Work involves complex, high-value transactions for technology companies, emerging growth businesses, and investors.
