This is a Debt Finance Associate position with BakerHostetler, seeking candidates with 3-6 years of experience.
You must be admitted to practice law in Ohio.
The role requires experience representing arrangers, agents, lenders, and borrowers in debt finance transactions.
Work will involve a variety of credit facilities, including secured term loans, cash flow and asset-based revolving facilities, leveraged acquisitions, and first lien, second lien, and unsecured financings.
Key responsibilities include drafting, reviewing, and negotiating a range of loan documents such as credit agreements, security agreements, guarantees, intercreditor agreements, and commitment letters.
You should have familiarity with UCC Article 9 (and relevant Article 8), negotiating third-party deliverables (e.g., control agreements, bailee waivers), and conducting debt finance diligence.
The position requires the ability to organize and manage complex closing processes for clients including debt funds, banks, private equity sponsors, and middle market companies.
For candidates with over 4 years of experience, familiarity with drafting and negotiating legal opinions and opinion diligence is also required.
The practice primarily focuses on middle market secured lending, with exposure to venture stage debt, large investment grade financings, cross-border work, project finance, restructuring, and workout matters across various industries.
This position is available in Cleveland, OH or Columbus, OH.
The expected annual salary range for the Cleveland, OH location is $220,000-$250,000, with associates also participating in a performance- and hours-based bonus program. Salary for other locations will be determined by factors including experience, education, and geographic region.
