Overview

  • This is a Debt Finance Associate position based in the firm's Columbus office.
  • Candidates should have 3-6 years of experience in debt finance.
  • Represent arrangers, agents, lenders, and borrowers, including debt funds, banks, private equity sponsors, and middle market companies.
  • Work includes syndicated/bilateral credit facilities, secured term loans, cash flow/asset-based revolving credit facilities, leveraged acquisitions, first lien/second lien, and unsecured deals.
  • Experience primarily in middle market secured lending, with some exposure to venture stage debt, large investment grade financings, cross-border, project finance, restructuring, and workout transactions.
  • Draft, review, and negotiate a range of loan documents, including credit/loan agreements, security agreements, guarantees, intercreditor/subordination agreements, and commitment letters.
  • Familiarity with UCC Article 9 (secured personal property transactions) and relevant elements of UCC Article 8 is required.
  • Manage standard debt finance diligence, including review of searches and organizational documents, and prepare disclosure schedules.
  • Negotiate and obtain third-party deliverables such as control agreements, bailee waivers, and insurance endorsements.
  • Organize and run complex closing processes for debt finance transactions.
  • For candidates with over 4 years of experience, familiarity with drafting, negotiating, and conducting diligence for legal opinions is preferred.
  • Admission to practice law in the State of Ohio is mandatory.
  • The role supports a hybrid work arrangement.
