Overview

The role's primary focus is M&A, alongside joint ventures, entity formation, and general corporate and commercial matters, involving sophisticated corporate transactions handled with minimal supervision.
The Orlando Business Group handles complex, high-value transactions for clients in a wide range of industries, including hospitality, sports and entertainment, and other national corporate sectors.
The position offers the opportunity to take ownership of transactions from start to finish, often collaborating across offices on multi-disciplinary matters that involve private equity, debt financing, and public company considerations.
Required experience includes handling and executing M&A transactions (structuring deals, managing due diligence, drafting and negotiating purchase agreements and ancillary documents, overseeing closings), as well as private equity-backed transactions, joint ventures, and entity formation (including drafting LLC agreements and governance documents).
Strong experience drafting and negotiating complex commercial agreements is essential.
Candidates must be able to manage complex transactions independently while coordinating with specialists (e.g., tax, real estate, regulatory) on multi-faceted deals.
Expected skills include excellent drafting, negotiation, and client communication skills with a practical, business-oriented approach, and a proven ability to manage client relationships and engagements end-to-end with accountability and ownership.
Ability to collaborate effectively in a team-oriented, group practice environment and mentor junior attorneys.
Preferred qualifications include experience with debt finance transactions and a background representing hospitality, sports, entertainment, or national corporate clients.
