This Corporate/M&A Paralegal position is based in the Atlanta office and supports attorneys primarily focused on corporate, M&A, healthcare, and real estate matters.
You will handle all aspects of entity formation, including preparing articles of incorporation/organization, bylaws, operating agreements, shareholder agreements, and related governing documents.
Support transactional matters by assisting with the preparation of stock and asset purchase agreements, M&A transactional documents, assignments, bills of sale, and stock transfer documents.
Manage corporate maintenance, including maintaining client corporate record books, preparing annual board/shareholder resolutions, and coordinating annual report filings and other governmental filings.
Conduct comprehensive due diligence searches (UCC, lien, judgment, bankruptcy) and review contracts in connection with transactions.
Coordinate all phases of closings, including preparing critical dates memoranda, checklists, closing documents, and managing document delivery and execution.
This role involves regular interaction with attorneys, clients, and outside parties regarding various legal matters.
Requires a minimum of 5 years of corporate or business paralegal experience, with significant exposure to transactional and finance matters, preferably within a law firm or corporate legal department.
A Bachelor's degree is preferred, or a Paralegal Certificate is required; equivalent experience may be considered.
Essential technical skills include proficiency in Microsoft Office, Adobe Acrobat, DocuSign, document management systems, and time entry systems.
You must possess strong organizational skills, attention to detail, excellent grammar, proofreading abilities, and exercise discretion with confidential information while managing multiple deadlines.
