Overview

  • Serve as a Corporate Paralegal within the Business and Transactions Department, primarily supporting lawyers in emerging companies, venture capital (ECVC), and mergers & acquisitions (M&A) practices.
  • Key responsibilities include preparing and managing closing documentation, drafting M&A, venture capital, and general corporate documents, and preparing regulatory applications.
  • Act as a liaison between clients and attorneys, responding to client requests and coordinating document flow.
  • Conduct, organize, review, and summarize due diligence, including preparing checklists, tracking document receipt, and drafting disclosure schedules.
  • A minimum of five years of corporate paralegal experience is required, with a specific focus on emerging companies and venture capital (ECVC) clients.
  • Candidates must have a strong understanding of corporate law, venture capital transactions (including securities issuances and maintenance on platforms like Carta and Pulley), and M&A transactions.
  • Required technical skills include proficiency with cap table management platforms (e.g., Carta), intermediate Microsoft Office skills, document management systems, and time-keeping software.
  • This role demands an ability to work independently with minimal supervision, exercising initiative and judgment in decision-making, and knowing when to escalate issues.
  • Strong verbal, written communication, research, organizational, and interpersonal skills are essential, along with the ability to manage multiple priorities and deadlines.
  • This is a hybrid work position, requiring flexibility for occasional overtime as needed.
  • The salary range for this position is $80,000 – $130,000, with actual compensation dependent on experience and qualifications. A comprehensive benefits package is provided, including health, dental, vision, 401(k), and paid time off.
