Overview

  • This is a Corporate Paralegal position within the Business and Transactions Department.
  • You will be joining Ballard Spahr, a national law firm with over 750 lawyers across 19 offices.
  • The role offers a hybrid work schedule and is based out of the firm's Portland office.
  • You will primarily support mergers and acquisitions (M&A), venture capital, and other corporate and financing transactions.
  • Key responsibilities include drafting and preparing transaction documents, such as M&A agreements, venture capital/financing documents, general corporate approvals, and closing documentation.
  • You will also manage due diligence processes (conducting, organizing, reviewing, summarizing) and coordinate closing activities, including preparing checklists and tracking items.
  • Acting as a liaison with clients and attorneys, responding to information requests, and preparing applications for state and federal regulators are also core duties.
  • This role requires paralegal experience, preferably 10 years, with a strong background in corporate law and business transactions, particularly M&A.
  • Proficiency with Microsoft Office applications, document management systems, and time-keeping software is essential.
  • A four-year college degree and paralegal certificate are preferred qualifications.
  • Candidates must possess strong organizational, communication, research, and interpersonal skills, be detail-oriented, and capable of managing multiple priorities independently.
  • The position requires the ability to work autonomously with minimal supervision, exercising initiative and sound judgment, and availability to work overtime as needed.
