This is a Corporate Paralegal position within the Business and Transactions Department.
You will be joining Ballard Spahr, a national law firm with over 750 lawyers across 19 offices.
The role offers a hybrid work schedule and is based out of the firm's Portland office.
You will primarily support mergers and acquisitions (M&A), venture capital, and other corporate and financing transactions.
Key responsibilities include drafting and preparing transaction documents, such as M&A agreements, venture capital/financing documents, general corporate approvals, and closing documentation.
You will also manage due diligence processes (conducting, organizing, reviewing, summarizing) and coordinate closing activities, including preparing checklists and tracking items.
Acting as a liaison with clients and attorneys, responding to information requests, and preparing applications for state and federal regulators are also core duties.
This role requires paralegal experience, preferably 10 years, with a strong background in corporate law and business transactions, particularly M&A.
Proficiency with Microsoft Office applications, document management systems, and time-keeping software is essential.
A four-year college degree and paralegal certificate are preferred qualifications.
Candidates must possess strong organizational, communication, research, and interpersonal skills, be detail-oriented, and capable of managing multiple priorities independently.
The position requires the ability to work autonomously with minimal supervision, exercising initiative and sound judgment, and availability to work overtime as needed.
