Overview

Associate position within the Emerging Business & Venture Capital Group.
Role available in Miami, Minneapolis, New York, Philadelphia, Pittsburgh, or Washington, D.C.
Requires 2-5 years of post-qualification experience.
Work primarily with startups, emerging growth, and later-stage companies.
Handle company formations and various financing rounds, including convertible notes, SAFEs, and priced Seed or Series Preferred rounds.
Advise on venture capital and private equity transactions, private company mergers, acquisitions, divestitures, joint ventures, and spin-offs.
Manage federal securities and state blue sky securities compliance.
Address general corporate matters, employment, consulting, and equity compensation issues for venture-backed companies.
Prior experience at a reputable law firm with a dedicated emerging growth practice is preferred.
Experience from a venture capital fund or in-house at a well-funded technology startup is also preferred.
