Overview

  • The role is a contract position through DWTSurge, the firm’s alternative staffing program, focused on mergers & acquisitions due diligence for the Business & Tax group’s institutional corporate clients.
  • Day-to-day responsibilities include comprehensive due diligence, drafting and negotiating corporate transaction agreements, preparing disclosure schedules, and supporting the full deal process, including closing coordination and document preparation.
  • The position requires utilizing AI tools (e.g., eBrevia, Kira, Harvey) for due diligence and transactional document drafting/negotiation, with prior experience in legal tech and AI tools being preferred.
  • This is a remote contract role with variable hours, potentially up to 40 hours per week depending on deal activity, and requires primary support for West Coast business hours; the engagement is until the end of 2026, with possible extension based on deal flow.
  • Candidates should be prepared for fluctuating workloads, adapt to fast-paced M&A environments, and be interested in establishing an exclusive working relationship with the firm through the DWTSurge program.
