  • Corporate Governance and Special Committee practice.
  • Represents public companies, boards of directors, management, and significant stockholders.
  • Focuses on high-stakes corporate governance matters.
  • Engages in sophisticated, board-level client matters with institutional investors, public companies, and private equity firms.
  • Collaborates with Corporate & Securities, Financial Services, and Litigation practice groups.

About the Role

  • Advise on corporate law issues including fiduciary duties and conflicts of interest.
  • Support governance advisory work on activism defense, proxy contests, and special committee processes.
  • Provide expertise on bylaw provisions, charter amendments, and board processes.
  • Draft transaction documents, governance documents, board materials, and legal memoranda.
  • Assist on Court of Chancery litigation by providing technical and practice advice.

Key Requirements

  • Clerkship with the Delaware Court of Chancery.
  • 2-4 years of experience (including clerkship) or current clerk.
  • Deep knowledge of corporate law, Court of Chancery practice, and current case law.
  • J.D. from a top-tier law school with strong academic credentials.
  • Admission to Delaware bar (or willingness to obtain).
