Overview

  • Join a Corporate Governance and Special Committee practice as a mid-level associate.
  • Advise boards of directors, special committees, management, and significant stockholders on corporate law issues, including fiduciary duties, conflicts of interest, and process design for complex transactions.
  • Support special committee representations in conflict transactions, such as going-private deals and management buyouts, and assist clients with activism preparedness.
  • Provide M&A advice on deal structuring, board process, disclosure obligations, and litigation risk management.
  • Draft board materials, legal opinions, and client memoranda, and support Delaware Court of Chancery litigation matters.
  • Candidates must have 3-6 years of corporate law experience at a large law firm, with significant exposure to Delaware corporate law, including the DGCL, fiduciary duties, and Court of Chancery practice.
  • A J.D. from a highly-regarded law school with a strong academic record is required.
  • Strong legal research, writing, and analytical skills are essential, along with the ability to manage multiple matters independently.
  • California bar admission is required; Delaware or Nevada bar admission is a plus.
  • Experience with Nevada corporate law, special committees, conflict transactions, or M&A matters is preferred.
  • Compensation starts at $260,000+, commensurate with class year and experience.
  • This role offers a flexible office location across San Francisco, New York, Philadelphia, Washington D.C., or other firm offices.
