Overview

Mid-level Associate (3-6 years PQE) for a Corporate Governance and Special Committee practice.
Advise boards, special committees, management, and significant stockholders on corporate law issues, including fiduciary duties, conflicts of interest, and process design.
Support special committee representations in conflict transactions (e.g., going-private deals, management buyouts) and advise on M&A transactions.
Assist clients with activism preparedness and governance audits, and support Delaware Court of Chancery litigation matters.
Draft board materials, legal opinions, and client memoranda, and research corporate law developments for client implications.
Requires a JD with excellent academic credentials and 3-6 years of experience at a major law firm.
Strong understanding of Delaware corporate law (DGCL, fiduciary duties, Court of Chancery practice) is essential; Nevada corporate law experience is a plus.
Exceptional legal research, writing, and analytical skills are required, along with the ability to work independently and manage multiple matters simultaneously.
Admission to the California bar is required; Delaware or Nevada bar admission is a plus.
Salary starts at $260,000+ (commensurate with class year and experience).
Flexible office locations available, including San Francisco, New York, Philadelphia, Washington D.C., and other offices.
Direct mentorship from nationally recognized corporate law experts and exposure to board-level client matters.
