Seeking a mid-level associate with 3-6 years of experience, primarily focused on Corporate Governance and Special Committee matters.
Advise boards, special committees, management, and significant stockholders on corporate law, fiduciary duties, and conflicts of interest.
Support special committee representations in conflict transactions like going-private deals, management buyouts, and interested stockholder transactions.
Assist clients with activism preparedness, including bylaw reviews, advance notice provision analysis, and governance audits.
Advise on M&A transactions, including deal structuring, board process, disclosure obligations, and litigation risk management.
Responsibilities include researching cutting-edge corporate law developments, drafting board materials, legal opinions, and client memoranda, and supporting Delaware Court of Chancery litigation matters.
Requires a JD from a top-tier law school with excellent academic credentials and significant Delaware corporate law exposure at a major law firm.
Must have a strong understanding of the Delaware General Corporation Law, fiduciary duties, and Court of Chancery practice. Experience with special committees, conflict transactions, or M&A is preferred; Nevada corporate law experience is a plus.
Exceptional legal research, writing, and analytical skills are required, along with the ability to work independently, manage multiple matters, and provide strong client service.
Admission to the California bar is required; Delaware or Nevada bar admission is a plus. Flexible office location is available (San Francisco, New York, Philadelphia, Washington D.C., or other offices).
Starting salary is $260,000+, commensurate with class year and experience.
