Overview

Senior Corporate Associate position based in the San Diego office.
Focus on public company reporting and compliance, corporate governance, and capital markets transactions.
Advise innovative issuer and underwriter clients, primarily in life science, technology, and digital asset verticals.
Responsibilities include day-to-day work with public companies on periodic reporting, proxy statements, and Section 13/16 filings.
Involvements include legal research, drafting complex legal documents, and managing corporate transactions.
Minimum 5 years of capital markets experience required.
Must have experience working with large-cap and mid-cap public companies.
Strong knowledge of the Securities Act of 1933, the Securities Exchange Act of 1934, and Nasdaq/New York Stock Exchange listing and governance requirements is essential.
Juris Doctor (JD) degree from an accredited law school and active admission to the California Bar are required.
Prior experience working in a large law firm is a plus.
The expected annual salary range for this role is $365,000 - $435,000, complemented by a comprehensive benefits package including medical/dental/vision insurance and 401(k).
This is a hybrid work position, requiring regular in-office presence with some flexibility for remote work.
