Overview

  • Associate position within the Corporate Trust team, focusing on transactional matters for financial institutions and corporate trust clients.
  • Represent clients in corporate trust transactions, including structured finance (RMBS, CMBS, ABS, CFO/CDO), municipal debt, public finance, corporate debt/high yield, finance facilities, loan agent, and document custody.
  • Key responsibilities include reviewing, negotiating, and drafting transactional agreements such as trust indentures, loan, account control, agency, custodial, pooling and servicing, servicing, disbursement, and master servicing agreements.
  • Familiarity with post-closing matters and default-related issues is preferred.
  • Requires 3-5 years of transactional legal experience.
  • Strong organizational, writing, analytical, and negotiation skills are essential, with a superior academic background preferred.
  • Ability to manage multiple transactions and assignments effectively.
  • This is a hybrid position, available in Chicago, Dallas, Denver, Des Moines, Florham Park, Fort Wayne, Indianapolis, Los Angeles, Minneapolis, New York City, Philadelphia, Princeton, San Francisco, Washington DC, and Wilmington offices.
  • Anticipated annual salary range is $180,000 – $300,000.
  • Total compensation package includes productivity and discretionary bonuses, and comprehensive benefits (health, disability, 401(k) plan).
