Overview

Associate position within the Corporate Trust team, focusing on transactional matters for financial institutions and corporate trust clients.
Represent clients in corporate trust transactions, including structured finance (RMBS, CMBS, ABS, CFO/CDO), municipal debt, public finance, corporate debt/high yield, finance facilities, loan agent, and document custody.
Key responsibilities include reviewing, negotiating, and drafting transactional agreements such as trust indentures, loan, account control, agency, custodial, pooling and servicing, servicing, disbursement, and master servicing agreements.
Familiarity with post-closing matters and default-related issues is preferred.
Requires 3-5 years of transactional legal experience.
Strong organizational, writing, analytical, and negotiation skills are essential, with a superior academic background preferred.
Ability to manage multiple transactions and assignments effectively.
This is a hybrid position, available in Chicago, Dallas, Denver, Des Moines, Florham Park, Fort Wayne, Indianapolis, Los Angeles, Minneapolis, New York City, Philadelphia, Princeton, San Francisco, Washington DC, and Wilmington offices.
Anticipated annual salary range is $180,000 – $300,000.
Total compensation package includes productivity and discretionary bonuses, and comprehensive benefits (health, disability, 401(k) plan).
