Candidates should have 4-5 years of experience advising public companies on securities compliance, including financial reporting and '34 Act matters, and corporate governance.
The role involves counseling on a wide range of securities law compliance, disclosure, and corporate governance issues.
You will assist with day-to-day securities law counseling and handle significant governance transactions such as executive succession, corporate crises, shareholder proposals, and shareholder activism.
Prior experience with general corporate matters, including securities offerings and/or mergers and acquisitions, is helpful.
Some prior in-house legal experience is also valued for this position.
The team serves as primary securities compliance and governance counsel to over 60 public companies, ranging from newly public emerging growth companies to Fortune 500 companies across diverse industries.
Strong academic credentials, excellent communication skills, and a commitment to responsiveness are essential.
This position requires working from a Faegre Drinker office three days per week.
The anticipated initial annual salary range for this role is $245,000 – $265,000, with actual pay determined by relevant skills, experience, and location.
Total compensation includes productivity and discretionary bonuses.
