Overview

  • Mid-Level Corporate Paralegal specializing in Capital Markets and Public Companies.
  • This position is available in any U.S. office and requires a hybrid schedule with three days onsite per week. The work week is 37.5 hours (non-exempt), Monday-Friday, 9:00 am - 5:30 pm.
  • Minimum of 3+ years of corporate and transactional paralegal experience.
  • Responsibilities include managing ’34 Act compliance, Section 16 reporting, and Rule 144 and legend removal letters.
  • Assist with IPOs and public company operations, preparing registration statement numerical backup spreadsheets, and managing beneficial ownership tables.
  • Handle stock exchange applications, FINRA filings, selling stockholder matters, and onboarding transfer agents.
  • Coordinate closing documents, closing volumes, and prepare board resolutions and minutes.
  • Required skills include strong communication, research, and organizational abilities, substantial proficiency in Excel, and the capacity to manage multiple tasks in a deadline-driven setting.
  • Comfort using AI tools and an interest in adapting to new technologies for work processes.
  • A four-year degree and/or a paralegal certificate from an ABA-approved program is required.
  • The anticipated base salary range for this role is $85,000 - $133,750, with a discretionary performance bonus potentially available.
