Overview

Supports Foley & Lardner LLP's Capital Markets & Public Company Advisory practice within the Transactions Practice Group, which advises public and private companies on securities offerings, SEC reporting and compliance, corporate governance, and other capital markets matters.
Required experience includes advising public companies on periodic and current reports under the Securities Exchange Act of 1934, proxy statements, annual meeting matters, and other disclosure and securities law compliance.
Experience with public and private capital-raising transactions is required, encompassing drafting registration statements, prospectuses, offering memoranda, and related transaction documents.
Candidates must also have experience with corporate governance matters, including board and committee practices, fiduciary duty considerations, and compliance with applicable stock exchange rules.
Experience counseling clients on day-to-day public company matters and working directly with company legal and finance teams is valued.
