Responsibilities encompass advising funds across all operational stages, including preparing offering materials, drafting partnership, limited liability company, and other governing agreements, negotiating with investors, and drafting side letters.
The role involves counseling fund managers on securities laws, structuring the acquisition and disposition of investments, and addressing other tax and regulatory matters.
Advising clients on general fund operations covers conflicts of interest, compliance, employment, consulting, commercial relationships, admission of new members to general partner/management company entities, separation agreements, and fund/general partner/management company loans.
A genuine interest in the venture capital and growth equity industry is essential; prior fund formation experience is not required, and candidates with broader corporate or transactional backgrounds seeking to pivot into this area are welcome.
An advantage is given to candidates with experience representing venture capital, private equity, or growth equity funds, ongoing investment firm operations, and compliance with the Investment Company Act, Investment Advisers Act, and Securities Act.
