Overview

This is a midlevel Corporate Associate role focusing on emerging companies and venture capital.
Responsibilities include advising emerging companies and venture capital investors on corporate and transactional matters, from formation through exit.
You will draft and negotiate venture capital financing documents, including term sheets, convertible notes, and NVCA-style agreements.
Provide legal guidance on corporate governance, including board and shareholder issues.
Support clients in mergers and acquisitions, joint ventures, and other strategic transactions.
Conduct due diligence and assist with transactional closings.
Experience acting as outside corporate counsel to early-stage and late-stage private companies is required.
This position requires 3 to 5 years of post-JD corporate law experience.
A Juris Doctor degree from an ABA-accredited law school is mandatory.
You must be licensed or eligible for admission to the State Bar of Georgia.
Residency in the Atlanta area is a prerequisite at or before the time of hire.
The role requires working in the office a minimum of three business days per week.
