This is a Midlevel Corporate Associate position with a focus on emerging companies and venture capital.
You will advise emerging companies and venture capital investors on a range of corporate and transactional matters, from company formation to exit.
Responsibilities include drafting and negotiating venture capital financing documents, such as term sheets, convertible notes, and NVCA financing agreements.
You will provide legal guidance on corporate governance issues, including board and shareholder matters.
The role involves assisting clients with mergers and acquisitions, joint ventures, and other strategic transactions, as well as conducting due diligence and managing transactional closings.
You will act as outside corporate counsel to both early-stage and late-stage private companies.
Candidates must have 3 to 5 years of post-qualification experience.
A Juris Doctor (JD) from an ABA-accredited law school is required, along with a strong academic background and excellent research and writing skills.
You must be licensed or prepared to become licensed to practice law in Massachusetts.
The position requires residence in the Boston area at or prior to the time of hire, with an expectation to work in the Boston office at least three business days per week.
The salary range for this Boston-based position is $260,000 – $365,000 annually, with actual compensation dependent on individual qualifications and experience.
