Overview

This is a midlevel corporate associate position at Holland & Knight, focusing on emerging companies and venture capital.
Advise emerging companies and venture capital investors on corporate and transactional matters, from formation through exit.
Draft and negotiate venture capital financing documents, including term sheets, convertible notes, and NVCA-related agreements.
Provide legal guidance on corporate governance, including board and shareholder issues.
Support clients in mergers, acquisitions, joint ventures, and other strategic transactions, including due diligence and transactional closings.
Act as outside corporate counsel to private companies, ranging from early-stage to late-stage.
Requires 3-5 years of relevant legal experience.
A Juris Doctor (JD) degree from an ABA-accredited law school is required.
Must be admitted to the North Carolina Bar or eligible for admission.
Residence in the Charlotte area is required by the start date.
Expectation to work in the office at least three days per week.
A strong academic background and excellent research and writing skills are essential.
