Overview

  • This is a midlevel corporate associate position at Holland & Knight, focusing on emerging companies and venture capital.
  • Advise emerging companies and venture capital investors on corporate and transactional matters, from formation through exit.
  • Draft and negotiate venture capital financing documents, including term sheets, convertible notes, and NVCA-related agreements.
  • Provide legal guidance on corporate governance, including board and shareholder issues.
  • Support clients in mergers, acquisitions, joint ventures, and other strategic transactions, including due diligence and transactional closings.
  • Act as outside corporate counsel to private companies, ranging from early-stage to late-stage.
  • Requires 3-5 years of relevant legal experience.
  • A Juris Doctor (JD) degree from an ABA-accredited law school is required.
  • Must be admitted to the North Carolina Bar or eligible for admission.
  • Residence in the Charlotte area is required by the start date.
  • Expectation to work in the office at least three days per week.
  • A strong academic background and excellent research and writing skills are essential.
