Overview

Midlevel Corporate Associate focusing on emerging companies and venture capital.
Requires 3 to 5 years of post-JD corporate legal experience.
Advise emerging companies and venture capital investors on a wide range of corporate and transactional matters, from formation to exit.
Draft and negotiate venture capital financing documents, including term sheets, convertible notes, and NVCA-related agreements.
Support clients in mergers, acquisitions, joint ventures, and other strategic transactions, including due diligence and transactional closings.
Provide legal guidance on corporate governance matters, including board and shareholder issues.
Act as outside corporate counsel to early-stage and late-stage private companies.
Strong academic background, excellent legal research, and writing skills are required.
JD from an ABA-accredited law school is mandatory; must be licensed or ready to become licensed to practice law in Illinois.
This position is in Chicago; candidates must reside in the Chicago area at or prior to the time of hire.
Expectation to work in the Chicago office at least three business days per week.
The annual salary range is $260,000 – $365,000, along with bonus eligibility and a benefits program.
