This is a Midlevel Corporate Associate position focusing on emerging companies and venture capital.
Candidates should have 3 to 5 years of post-JD experience.
Core responsibilities include advising emerging companies and venture capital investors on corporate and transactional matters, from formation to exit.
You will draft and negotiate venture capital financing documents, including term sheets, convertible notes, and NVCA agreements.
The role involves providing legal guidance on corporate governance issues, such as board and shareholder matters, and supporting M&A, joint ventures, and other strategic transactions.
Additional duties include conducting due diligence, assisting in transactional closings, and acting as outside corporate counsel to early and late-stage private companies.
A JD from an ABA-accredited law school is required. You must be licensed or prepared to be licensed to practice law in Colorado.
Candidates must reside in the Denver area at or prior to hire. The expectation is to work in the office at least three business days per week.
A strong academic background and excellent research and writing skills are essential.
The pay range for this Denver position is $260,000 – $365,000 per year, with actual compensation depending on individual qualifications and experience.
