Overview

Midlevel Corporate Associate position with a focus on emerging companies and venture capital.
Requires 3-5 years of post-qualification experience in corporate law.
Counsel emerging companies and venture capital investors on corporate and transactional matters, from formation through exit.
Draft and negotiate venture capital financing documents, including term sheets, convertible notes, and NVCA-related agreements.
Provide legal guidance on corporate governance issues and support clients in mergers, acquisitions, joint ventures, and other strategic transactions.
Conduct due diligence and facilitate transactional closings.
Serve as outside corporate counsel for early-stage and late-stage private companies, managing client and counsel relationships.
Requires a strong academic background, excellent research, and writing skills.
Must be licensed or eligible for licensure to practice law in Florida.
Required to reside in the Jacksonville area at or before the time of hire.
Expectation to work in the office a minimum of three days per week.
