Overview

Midlevel Corporate Associate role specializing in Emerging Companies and Venture Capital.
Requires 3-5 years of post-JD experience in emerging companies and venture capital matters.
Advise emerging companies and venture capital investors on corporate and transactional matters, from formation through exit.
Draft and negotiate venture capital financing documents, including term sheets, convertible notes, and NVCA agreements.
Support clients through mergers and acquisitions, joint ventures, strategic transactions, due diligence, and transactional closings.
Provide legal guidance on corporate governance, including board and shareholder issues, and act as outside corporate counsel for private companies.
JD from an ABA-accredited law school required; must be licensed or able to become licensed in Florida.
Requires residence in the Miami area at or prior to hire, with an expectation to work in the office at least three days per week.
Strong academic background and excellent research and writing skills are essential.
