This is a Midlevel Corporate Associate position with a focus on emerging companies and venture capital.
Requires 3 to 5 years of post-JD experience in corporate law.
You will advise emerging companies and venture capital investors on a wide range of corporate and transactional matters, from formation to exit.
Key responsibilities include drafting and negotiating venture capital financing documents, such as term sheets, convertible notes, and NVCA-related agreements.
You will provide legal guidance on corporate governance matters, including board and shareholder issues.
The role involves supporting mergers and acquisitions, joint ventures, and other strategic transactions, including conducting due diligence and assisting in closings.
You will act as outside corporate counsel to both early-stage and late-stage private companies, managing client relationships.
Candidates must hold a JD from an ABA-accredited law school, possess a strong academic background, and demonstrate excellent research and writing skills.
You must be licensed or ready to become licensed to practice law in Tennessee.
The position requires you to reside in the Nashville area at or prior to the time of hire.
Expectation to work in the office at least three business days per week.
