Overview

This is a Midlevel Corporate Associate role focused on emerging companies and venture capital.
You will advise emerging companies and venture capital investors on a range of corporate and transactional matters, from formation through exit.
Responsibilities include drafting and negotiating venture capital financing documents, such as term sheets, convertible notes, and NVCA-related agreements.
You will provide legal guidance on corporate governance issues, including board and shareholder matters.
The role involves supporting clients through mergers and acquisitions, joint ventures, and other strategic transactions, including due diligence and transactional closings.
You will act as outside corporate counsel for early-stage and late-stage private companies, managing client and counsel relationships.
Candidates must have 3 to 5 years of post-JD corporate law experience, with a focus on emerging companies and venture capital.
A JD from an ABA-accredited law school is required. You must be licensed or eligible for admission to the Florida Bar.
You must reside in the Orlando area at or prior to hiring, and work in the office at least three business days per week.
A strong academic background and excellent research and writing skills are essential for this position.
