Overview

This is a midlevel Corporate Associate position requiring 3-5 years of experience.
You will advise emerging companies and venture capital investors on corporate and transactional matters, from formation to exit.
Key responsibilities include drafting and negotiating venture capital financing documents, such as term sheets, convertible notes, and NVCA-related forms.
You will provide legal guidance on corporate governance issues, including board and shareholder matters.
Support clients in mergers and acquisitions, joint ventures, and other strategic transactions.
Tasks also involve conducting due diligence, assisting with transactional closings, and acting as outside corporate counsel to private companies.
A Juris Doctor from an ABA-accredited law school is required.
You must be licensed or ready to become licensed to practice law in Pennsylvania.
The role requires residency in the Philadelphia area at or prior to the time of hire, with an expectation to work in the office at least three business days per week.
A strong academic background, excellent research and writing skills, and the ability to manage client and counsel relationships are essential.
