Overview

  • This is a mid-level Corporate M&A and Securities Associate position requiring 3-5 years of experience.
  • You will advise issuers on a variety of capital markets transactions, including public and private offerings of debt and equity securities.
  • Responsibilities include counseling public companies on disclosure, corporate governance, and SEC/stock exchange reporting and compliance matters.
  • You will interface with the SEC and other regulatory bodies.
  • Prepare Exchange Act filings, such as Forms 10-K, 10-Q, 8-K, and proxy statements.
  • Experience with public and private company M&A transactions is a significant advantage.
  • Candidates must have strong communication, business acumen, and client management skills, along with excellent academic credentials. Large regional, national, or international law firm experience is preferred.
  • Location is Washington D.C.; candidates must reside in the D.C. area and be licensed or ready for D.C. Bar admission. A JD from an ABA Accredited Law School is required.
  • The role requires working in the office at least three business days per week.
  • The annual salary range for this position in Washington D.C. is $260,000 - $365,000, with actual compensation dependent on qualifications and experience.
