Holland & Knight is seeking a mid-level Associate for its Corporate M&A and Securities Practice.
Candidates must have 3-5 years of post-JD experience.
Primary focus involves capital markets transactions and public company reporting and compliance matters.
Extensive experience is required representing issuers in public and private offerings of debt and equity securities.
Responsibilities include counseling public companies on disclosure, corporate governance, and SEC/stock exchange reporting and compliance.
Experience preparing Exchange Act filings such as Forms 10-K, 10-Q, 8-K, and proxy statements is essential.
Prior experience interfacing with the SEC and other regulators is expected.
Additional experience with public and private company M&A is considered a strong asset.
Candidates must demonstrate strong communication skills, business acumen, and the ability to manage client relationships effectively.
Requires excellent academic credentials and a JD from an ABA-accredited law school; prior experience at a large regional, national, or international law firm is preferred.
Must be licensed or ready to become licensed in Florida and reside in the Miami area at or prior to the time of hire.
The role requires working in the Miami office at least three business days per week.
