Overview

Midlevel Corporate Associate position focused on emerging companies and venture capital.
Advise emerging companies and venture capital investors on a wide range of corporate and transactional matters, from company formation through exit.
Draft and negotiate venture capital financing documents, including term sheets, convertible notes, and NVCA-related agreements.
Provide legal guidance on corporate governance matters, including board and shareholder issues.
Support clients through mergers, acquisitions, joint ventures, and other strategic transactions.
Conduct due diligence and assist in transactional closings.
Act as outside corporate counsel to early and late-stage private companies, managing client relationships.
Requires 3 to 5 years of post-qualification experience in corporate law, specifically with emerging companies and venture capital.
JD from an ABA-accredited law school is required; must be licensed or prepared to become licensed to practice law in North Carolina.
Candidates must demonstrate a strong academic background, excellent research, and writing skills.
This role is based in Charlotte, NC, requiring residency in the area by the hire date and an expectation to work in the office at least three business days per week.
