Focus on corporate law, advising emerging companies and venture capital investors on a range of corporate and transactional matters, from formation to exit.
Draft and negotiate venture capital financing documents, including term sheets, convertible notes, and NVCA-related agreements.
Provide legal guidance on corporate governance issues, including board and shareholder matters.
Support clients in mergers and acquisitions, joint ventures, other strategic transactions, and conduct due diligence for closings.
Act as outside corporate counsel for early-stage and late-stage private companies.
This role requires 3 to 5 years of post-qualification experience in corporate law, specifically with emerging companies and venture capital.
Candidates must have a JD from an ABA-accredited law school and be licensed or prepared to become licensed to practice law in Colorado.
A strong academic background and excellent research and writing skills are essential.
This position is based in Denver; candidates must reside in the Denver area at or prior to the time of hire.
Expectation to work in the office at least three business days per week.
The pay range for this position in Denver is $260,000 – $365,000 per year, with actual compensation dependent on individual qualifications and experience.
