Overview

Midlevel Corporate Associate focused on Emerging Companies and Venture Capital.
Requires 3-5 years of experience advising clients on corporate and transactional matters.
Advise emerging companies and venture capital investors on issues from formation through exit.
Draft and negotiate venture capital financing documents, including term sheets, convertible notes, and NVCA documents.
Provide legal guidance on corporate governance matters, including board and shareholder issues.
Support clients in mergers and acquisitions, joint ventures, and other strategic transactions.
Conduct due diligence and assist in transactional closings.
Serve as outside corporate counsel for early-stage and late-stage private companies, managing client relationships.
JD from an ABA-accredited law school is required.
Must be licensed or able to become licensed to practice law in Florida.
Requires residence in the Jacksonville, Florida area at or prior to the time of hire.
Expectation to work in the office a minimum of three business days per week.
Strong academic background, excellent research, and writing skills are essential.
