Seeking a midlevel Corporate Associate with experience in emerging companies and venture capital.
Advise emerging companies and venture capital investors on corporate and transactional matters, from company formation through exit.
Draft and negotiate venture capital financing documents, including term sheets, convertible notes, and NVCA-related agreements.
Manage M&A, joint ventures, and other strategic transactions, including due diligence and closing processes.
Provide legal guidance on corporate governance for boards and shareholders, and act as outside corporate counsel for private early-stage and late-stage companies.
Requires 3 to 5 years of post-JD experience in corporate and venture capital law.
Candidates must possess a JD from an ABA-accredited law school with a strong academic record, along with excellent research and writing skills.
Must be licensed or ready to become licensed to practice law in Tennessee.
Requires residence in the Nashville area at or prior to the time of hire.
Expectation to work from the Nashville office at least three business days per week.
