Overview

This is a Midlevel Corporate Associate position.
Requires 3 to 5 years of post-JD corporate law experience.
Focus is on emerging companies and venture capital transactions.
Advise emerging companies and venture capital investors on a range of corporate and transactional matters, from formation to exit.
Draft and negotiate venture capital financing documents, including term sheets, convertible notes, and NVCA forms.
Provide legal guidance on corporate governance issues, including board and shareholder matters.
Support clients in mergers and acquisitions, joint ventures, and other strategic transactions, including conducting due diligence and assisting in closings.
Serve as outside corporate counsel for early-stage and late-stage private companies.
Requires a Juris Doctor (JD) degree from an ABA-accredited law school.
Must be licensed or eligible for admission to the Florida Bar.
Strong research and writing skills are essential for this role.
Requires residence in the Orlando area at or prior to the time of hire.
Hybrid work schedule requires a minimum of three days per week in the office.
