Overview

Midlevel Corporate Associate position focused on emerging companies and venture capital matters.
Advise emerging companies and venture capital investors on a range of corporate and transactional matters, from formation through exit.
Draft and negotiate venture capital financing documents, including term sheets, convertible notes, and NVCA-related agreements.
Provide legal guidance on corporate governance issues, including board and shareholder matters.
Support clients in mergers and acquisitions, joint ventures, and other strategic transactions.
Conduct due diligence and assist with transactional closings.
Act as outside corporate counsel for early-stage and late-stage private companies.
Requires 3 to 5 years of post-JD experience in corporate law, specifically within emerging companies and venture capital.
Juris Doctor degree from an ABA Accredited Law School is required.
Must be licensed or eligible for licensure to practice law in Pennsylvania.
Candidates should possess a strong academic background and excellent research and writing skills.
Must reside in the Philadelphia area at or prior to the time of hire.
Expected to work from the Philadelphia office at least three business days per week.
