This is a midlevel Corporate Associate position focused on Emerging Companies and Venture Capital.
The role requires 3 to 5 years of post-JD experience in corporate and transactional matters.
You will advise emerging companies and venture capital investors on matters ranging from formation to exit, including drafting and negotiating venture capital financing documents (e.g., term sheets, convertible notes, NVCA documents).
Key responsibilities include providing legal guidance on corporate governance (board and shareholder issues) and supporting M&A, joint ventures, and other strategic transactions.
You will also conduct due diligence, assist in transactional closings, and act as outside corporate counsel to early and late-stage private companies.
A Juris Doctor from an ABA-accredited law school is required.
You must be licensed, or prepared to become licensed, to practice law in Connecticut.
This position is based in the Stamford office, and you must reside in the Stamford area at or prior to the time of hire.
Expect to work in the office at least three business days per week.
The compensation for this position in Stamford ranges from $260,000 to $365,000 annually, based on individual qualifications and experience.
