Primary responsibilities involve reviewing and analyzing private M&A transaction documentation and due diligence reports, coordinating with subject matter experts to identify deal risks, and issuing RWI coverage.
Candidates will also develop and cultivate relationships with M&A insurance underwriters and brokers.
An understanding of the M&A deal process and transactional legal exposures, including warranty breaches, price adjustment mechanisms, litigation, and computation and measure of damages, is ideally sought.
Specific experience procuring or negotiating representations and warranties insurance on behalf of deal clients is a strong plus.
The role requires email responsiveness and the ability to work effectively under tight deadlines and deal time pressures.
