Overview

Experience representing public and private companies, investment banks, and/or investors on securities offerings, 1934 Exchange Act reporting and compliance, and corporate governance.
Involves drafting and negotiating key legal documents for corporate and securities transactions, including registration statements, offering memoranda, registration rights agreements, and stock purchase and subscription agreements.
Experience with matters involving non-U.S. companies or strategic transactions for public companies (e.g., mergers, "going private" transactions) is a plus.
