Overview

Partner role within the M&A/Private Equity practice group at Kirkland & Ellis LLP, San Francisco, CA.
Requires a Juris Doctor or LL.M. degree, or foreign equivalent.
Admission to the State Bar of California is mandatory.
Minimum of five years of Associate-level experience in Corporate, Mergers & Acquisitions, or Private Equity at an international law firm.
Advise corporate and private equity clients, providing legal due diligence and support for private equity firms, funds, and portfolio companies in complex corporate transactions.
Experience must include sophisticated transactions such as leveraged buyouts, public and private M&A, divestitures, carve-outs, joint ventures, growth, and strategic investments.
Transactional focus spans industries including software, home services, energy, media and entertainment, real estate, and healthcare.
Draft a range of corporate documents, including merger agreements, asset transfer agreements, share purchase agreements, disclosure letters, limited guarantees, equity commitment letters, capital contribution agreements, and governing documents like stockholder, operating, and partnership agreements.
Review corporate legal documents to evaluate and analyze the legal risk of proposed transactions.
Coordinate with opposing counsel and other external advisors, such as accountants, consultants, and brokers.
The hiring salary for this position is $420,000, along with a robust benefits offering.
