Overview

  • This role is for a Capital Markets Knowledge Management (KM) Associate, working closely with the Capital Markets KM Partner and attorneys across the firm.
  • Minimum of 5 years of professional legal practice experience in securities law, capital markets transactions, and corporate governance is required.
  • Candidates must possess excellent working knowledge of the Securities Act of 1933, the Securities Exchange Act of 1934, Delaware law, and corporate governance norms. Familiarity with equity offerings, debt offerings, and public company disclosure is expected, with a willingness to expand knowledge to other deal types.
  • A central dimension of the role involves translating Capital Markets expertise into AI-powered tools and workflows, including prompt architecture, agentic workflows, and structured knowledge systems.
  • The position requires crafting and executing a KM strategy across four core functions: training and development, substantive communications, knowledge resources, and innovation, with AI integration embedded throughout.
  • Key responsibilities include overseeing the Capital Markets training curriculum, auditing offerings, creating new trainings, and collaborating on firm-wide development programs.
  • Duties also involve identifying legal and market developments (e.g., new SEC guidance, Delaware law trends), preparing timely updates for attorneys, originating content for firm publications and client alerts, and supporting business development activities with substantive materials.
  • The Associate will create and maintain common knowledge resources such as standard forms and client-ready materials, and manage the Capital Markets resource page.
  • Innovation tasks include partnering on the design, development, and deployment of AI-powered tools, translating existing knowledge into AI-ready formats, coordinating firm-wide AI initiatives, and contributing to attorney training on AI-assisted practice.
  • Required professional skills include strong drafting, written, and oral communication abilities, as well as robust project management and organizational skills to handle multiple workstreams simultaneously.
  • Candidates must demonstrate a genuine interest in AI and legal technology, comfort with current AI platforms, and a willingness to develop hands-on fluency in prompt design and AI workflow architecture. Prior AI experience is not required; intellectual curiosity and the ability to learn quickly are essential.
