Supports private equity firms, funds, and portfolio companies in sophisticated transactions, including leveraged buyouts, public and private mergers and acquisitions, divestitures, spin-offs, joint ventures, and strategic investments.
Coordinates the due diligence process, which involves reviewing and analyzing corporate governance documents, regulatory filings, and material commercial agreements to identify legal risks and provide actionable recommendations.
Drafts, reviews, and negotiates a broad range of transaction documents, such as merger agreements, asset transfer agreements, share exchange agreements, disclosure letters, limited guarantees, equity commitment letters, and capital contribution agreements.
Collaborates with cross-functional teams, including finance, legal, tax, and operations, as well as external counsel and counterparties, to facilitate efficient execution of transactions.
Manages workflows for due diligence processes and deal closings, which includes organizing, reviewing, and synthesizing large volumes of documentation.
