Draft, review, and negotiate a broad range of transaction documents, including purchase agreements, contribution agreements, disclosure schedules, ancillary agreements, and related corporate documentation.
Provide legal advice and strategic guidance on transaction structuring, risk allocation, and regulatory considerations throughout the deal lifecycle.
Collaborate with cross-functional teams, including finance, legal, tax, and operations, as well as external counsel and counterparties, to facilitate efficient execution of corporate transactions.
Coordinate and manage data rooms and diligence workflows, including organizing, reviewing, and synthesizing large volumes of documentation.
