Associate - Corporate - Public Company Representation

• The role is within the Corporate practice group, specializing in Public Company Representation.
• Seeking an associate with a minimum of two years of experience in capital markets and public company representation, targeting candidates for the 2nd through 4th year associate class.
• Core responsibilities include advising public companies, their directors, officers, and senior management on corporate governance and securities law matters.
• Key tasks involve counseling clients on SEC matters, stock exchange compliance, foreign private issuer (FPI) guidance, and preparing proxy statements, earnings releases, annual shareholder meeting materials, and periodic reports (Forms 10-K, 10-Q, 8-K).
• Provide strategic support to boards on ESG strategy and reporting.
• Collaborate with other practice groups, including Capital Markets, Finance, M&A, Litigation, Executive Compensation, Employment & Benefits, ESG, and Activism, to address client needs in areas like capital raising, M&A, and disputes.
• Access the firm's US-based National Office, staffed by former SEC officials, for real-time insights on complex securities issues.
• Base salary by class year is as follows, with discretionary bonuses also available:

* Class of 2026: $225,000

* Class of 2025: $225,000

* Class of 2024: $235,000

* Class of 2023: $260,000

* Class of 2022: $310,000

* Class of 2021: $365,000

* Class of 2020: $390,000

* Class of 2019: $420,000

* Class of 2018: $435,000
