Overview

  • Draft, negotiate, and document complex legal instruments including indentures, credit agreements, and offering circulars for capital markets, finance, and securitization practices.
  • Advise on the legal structuring of complex financial mechanisms and provide specialized securitization-related structuring advice for cross-practice finance and corporate transactions involving asset-backed securities or other asset-backed finance structures.
  • Serve as a key communication point between US and global practices (including the UK, Germany, Hong Kong, and Japan) for cross-border deals requiring multi-jurisdictional legal analysis.
  • Advise tier 1 banks and Fortune 500 companies on New York and U.S. federal securities law, covering areas like Rule 144A and Reg S issuances, U.S. credit risk retention, and Volcker Rule issues.
  • Conduct legal research on US finance and securitization law, particularly related to credit risk retention, bankruptcy and true sale, ERISA, and Tax.
  • Requires a Master’s degree in law or a foreign equivalent.
  • Requires a minimum of three years of experience drafting, negotiating, and finalizing financial transaction documents; representing corporate clients and financial institutions in domestic and cross-border transactions; applying U.S. and local capital markets and finance law to global finance transactions; and coordinating transaction processes from conditions precedent through post-closing.
  • Must be admitted to practice law in the State of New York.
  • The base salary range for this role is $225,000 to $365,000.
  • Total compensation may include discretionary bonuses and other benefits.
  • Telecommuting or working from home may be permitted under company policies; otherwise, work is performed at the office site in New York, NY.
