Draft, review, and negotiate critical transaction documentation, such as merger agreements, stock/asset purchase agreements, investment, and shareholder agreements.
Manage complex legal due diligence processes, including scoping, coordinating multi-jurisdictional teams, identifying key legal risks, and providing commercial recommendations.
Oversee all conditions to closing and completion processes, managing regulatory filings, execution mechanics, and logistics for transactions.
Serve as the primary day-to-day contact for key clients, delivering timely and commercially-focused advice while building strong, long-term relationships with corporates, financial institutions, and private equity sponsors.
Supervise, train, and mentor junior associates and paralegals, including delegating work, providing constructive feedback, and ensuring quality control.
Support business development by contributing to client pitches, seminars, and developing thought leadership materials, with a focus on identifying new opportunities.
Requires a J.D. or foreign equivalent and at least four years of M&A experience, encompassing negotiating/drafting transaction documents, advising on cross-border matters, coordinating due diligence, and experience with U.S. federal securities laws and SEC reporting.
