Overview

  • Serve as a Paralegal (Finance) in the Chicago office for an international law firm representing major corporations, funds, and financial institutions in complex transactions and disputes.
  • Support attorneys in a high-volume finance practice, assisting with all phases of transactions including document preparation, due diligence, closing coordination, and post-closing management.
  • Draft a variety of transactional documents such as UCC financing statements, closing checklists, corporate formation documents, resolutions, officer certificates, and other ancillary instruments.
  • Manage signature page coordination (distribution, collection, quality control), prepare EIN applications, and obtain CIK codes and CUSIP numbers for securities.
  • Conduct due diligence by ordering, analyzing, and summarizing lien searches, obtaining business entity documents, and coordinating UCC filings with the compliance department.
  • Actively participate in closings by creating and maintaining detailed checklists, preparing and circulating closing documents, and coordinating with firm personnel, clients, and vendors.
  • Organize and assemble transaction documents, including electronic binders and post-closing deliverables, ensuring proper archiving according to firm protocols.
  • A Bachelor’s degree is required, and a paralegal certificate from an ABA-approved program is preferred.
  • Candidates should have 3-5 years of related paralegal experience, preferably within a law firm.
  • Proficiency in Microsoft Office products is required; knowledge of vendor platforms for UCC preparation is preferred.
  • Requires exceptional attention to detail, strong organizational and interpersonal skills, initiative, discretion, and the ability to manage multiple priorities and deadlines.
  • The typical salary range for this position is $77,000 to $102,000.
  • Benefits include medical, dental, vision, life, and AD&D insurance, a 401(k) savings plan, back-up childcare and eldercare, and generous paid time off.
  • This position operates under a hybrid work model.
